1. Agreement Overview

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Search Roadmap, LLC ("Company," "we," "us," or "our") regarding your use of the BundlePal service (the "Service"). BundlePal is a subscription-based Software as a Service (SaaS) platform that analyzes eCommerce order data to provide product bundling and recommendation insights.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

3.1 License Grant

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license during the Subscription Term to:

• Access and use the Service for your internal business purposes
• Upload and analyze your eCommerce order data through the Service
• Generate and export product bundling recommendations and analytics

3.2 Authorized Users

You may allow your Authorized Users to access and use the Service on your behalf. You are responsible for:

• All activities of your Authorized Users in connection with the Service
• Ensuring your Authorized Users comply with these Terms
• Any breach of these Terms by your Authorized Users

3.3 Account Requirements

To use the Service, you must:

• Be at least 18 years old or the legal age of majority in your jurisdiction
• Provide accurate and complete account registration information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account

4. Restrictions and Prohibited Uses

You agree not to, and will not permit your Authorized Users to:

4.1 Technical Restrictions

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Circumvent, disable, or interfere with security-related features of the Service
• Use automated scripts, bots, or other automated means to access the Service
• Attempt to gain unauthorized access to our systems or networks

4.2 Content and Data Restrictions

• Upload any data that violates applicable laws or regulations
• Submit malicious code, viruses, or other harmful software
• Upload data containing personal information of individuals under 18 years old
• Use the Service to store or process protected health information (PHI) or other sensitive regulated data

4.3 Business Restrictions

• Resell, sublicense, or distribute the Service to third parties
• Use the Service to develop competing products or services
• Engage in any activity that interferes with or disrupts the Service
• Violate any applicable laws, regulations, or third-party rights

5. Subscription and Payments

5.1 Subscription Fees

You agree to pay all subscription fees as specified in your Order Form. All fees are:

• Charged in advance for each subscription period
• Non-refundable except as expressly stated in these Terms
• Exclusive of applicable taxes, which you are responsible for paying

5.2 Payment Processing

Payments are processed through Stripe, our third-party payment processor. By providing payment information, you:

• Authorize us to charge the specified fees to your payment method
• Represent that you have the right to use the provided payment method
• Agree to Stripe's terms and conditions for payment processing

5.3 Automatic Renewal

Your subscription will automatically renew for successive periods equal to your initial Subscription Term unless either party provides written notice of non-renewal at least thirty (30) days before the end of the current term.

5.4 Late Payment and Suspension

If payment is not received when due, we may:

• Charge late fees as specified in your Order Form
• Suspend access to the Service after ten (10) days written notice
• Terminate your subscription for non-payment after thirty (30) days

6. Customer Data and Privacy

6.1 Customer Data Ownership

You retain all ownership rights in your Customer Data. You grant us a limited license to access, use, and process your Customer Data solely to provide the Service and as described in our Privacy Policy.

6.2 Data Privacy and Security

We will:

• Process your Customer Data in accordance with our Privacy Policy
• Implement reasonable security measures to protect your Customer Data
• Not access or use your Customer Data except as necessary to provide the Service
• Not share your Customer Data with third parties except as specified in our Privacy Policy

6.3 Data Processing Responsibility

You represent and warrant that:

• You have all necessary rights to upload and process your Customer Data through the Service
• Your Customer Data complies with all applicable laws and regulations
• You will not upload any data that violates third-party rights or applicable data protection laws

7.1 Our Intellectual Property

The Service, including all software, algorithms, designs, and related intellectual property, is owned by us and our licensors. We reserve all rights not expressly granted to you in these Terms.

7.2 Feedback

If you provide suggestions, feedback, or ideas about the Service, we may use such feedback without restriction or obligation to you.

7.3 Third-Party Content

The Service may include third-party content or integrate with third-party services. Such third-party content is subject to the respective third party's terms and conditions.

8. Service Availability and Support

8.1 Service Availability

We will use commercially reasonable efforts to provide the Service with high availability. However, we do not guarantee uninterrupted or error-free operation of the Service.

8.2 Maintenance

We may perform scheduled maintenance that may temporarily interrupt Service availability. We will provide reasonable advance notice of planned maintenance when possible.

8.3 Support

We provide customer support for the Service as described in our Documentation. Support is provided in English during our standard business hours.

9. Disclaimers and Limitations

9.1 Service Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties regarding Service availability, reliability, or performance
• Warranties that the Service will meet your specific requirements
• Warranties that the Service will be error-free or secure

9.2 Recommendation Disclaimers

The product bundling recommendations and analytics provided by the Service are based on data analysis and should not be considered as guaranteed business outcomes. You are solely responsible for:

• Evaluating and implementing any recommendations from the Service
• Business decisions made based on Service outputs
• Compliance with your industry regulations and business practices

9.3 Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or related to these Terms or the Service shall not exceed the total amount paid by you for the Service during the twelve (12) months preceding the claim.

In no event shall we be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Third-party actions or omissions

10. Indemnification

You agree to indemnify, defend, and hold us harmless from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or related to:

• Your use of the Service in violation of these Terms
• Your Customer Data or any third-party claims related thereto
• Your violation of applicable laws or third-party rights
• Negligent or willful misconduct by you or your Authorized Users

11. Termination

11.1 Termination by You

You may terminate your subscription at any time by providing written notice. Termination will be effective at the end of your current billing period, and you will not receive a refund for any unused portion of prepaid fees.

11.2 Termination by Us

We may terminate your subscription immediately if you:

• Materially breach these Terms and fail to cure such breach within thirty (30) days of written notice
• Fail to pay fees when due after applicable notice periods
• Engage in prohibited uses that could harm our Service or other users

11.3 Effect of Termination

Upon termination:

• Your access to the Service will cease immediately
• We will delete your Customer Data within ninety (90) days unless legally required to retain it
• All unpaid fees become immediately due and payable
• Sections that by their nature should survive will continue to apply

12. International Use and Export Controls

12.1 International Compliance

The Service is hosted in the United States. If you access the Service from outside the United States, you are responsible for compliance with local laws and regulations.

12.2 Export Controls

You agree to comply with all applicable export control laws and regulations. You represent that you are not:

• Located in a country subject to U.S. trade sanctions
• Listed on any U.S. government restricted party list
• Using the Service for any prohibited purposes under applicable trade laws

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any Order Form, constitute the entire agreement between the parties and supersede all prior agreements relating to the subject matter hereof.

13.2 Modifications

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be effective thirty (30) days after posting, and your continued use of the Service constitutes acceptance of the modified Terms.

13.3 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Florida.

13.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, terrorism, government actions, or internet service provider failures.

13.6 Assignment

You may not assign these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

13.7 Notice

All notices under these Terms must be in writing and delivered to the addresses specified in your Order Form or as otherwise communicated by the parties.
